Frequently asked questions

When should the management board file for bankruptcy?

The application must be filed within thirty days of the date on which the grounds for a declaration of bankruptcy arose, that is, from the onset of insolvency. Meeting this deadline is relevant to the liability of management board members for the company's obligations. If the financial situation is deteriorating, it is worth considering restructuring proceedings earlier - at the consultation we discuss the available options and their consequences.

What is the difference between restructuring and insolvency?

Restructuring proceedings serve to avoid bankruptcy by entering into an arrangement with creditors, and as a rule allow the debtor to retain its business and the management of its assets. Bankruptcy leads to the liquidation of the debtor's assets and the satisfaction of creditors from the proceeds. The choice of procedure depends on the state of the finances, the structure of the debt, and the prospects for continuing the business.

What is a family foundation for?

A family foundation allows family assets to be separated out, and the rules for managing them, the circle of beneficiaries and the scope of benefits due to them to be defined. It is sometimes used to organize succession in family businesses and to limit the risk of fragmenting the assets. Establishing a foundation requires a founding deed, articles and entry in the register. We help prepare the documents and carry out the whole process.

When is a management board member personally liable for the company's obligations?

In a limited liability company, a creditor may pursue payment from the management board members if enforcement against the company's assets proves ineffective. A management board member may be released from this liability by demonstrating, among other things, that the application for a declaration of bankruptcy was filed on time, or that the creditor suffered no loss. Documentation and dates are decisive.
